1. Services Overview

V-Fix.ai provides rescue and engineering services for AI-generated software projects. Our services include, but are not limited to:

Technical audits and code assessments
Architecture refactoring and system decomposition
Infrastructure setup (CI/CD, observability, security)
Engineering consulting and team guidance
Ongoing development and maintenance support

The specific scope, deliverables, and timelines for each engagement are defined in a separate agreement or proposal.

2. Eligibility

By using our services, you confirm that:

You are at least 18 years old and have the legal capacity to enter into binding agreements.
You have the authority to engage V-Fix.ai on behalf of your organization (if applicable).
The information you provide during onboarding is accurate and up to date.

3. Engagement Process

3.1 Request and Proposal

To engage our services, you submit a request through our contact form or email. We will review your project and provide a proposal outlining the scope, timeline, and pricing.

3.2 Agreement

A formal engagement begins when you accept a proposal and any applicable service agreement is executed. Both parties are bound by the terms of that agreement in addition to these Terms.

3.3 Changes to Scope

If the scope of work changes during an engagement, we will communicate the impact on timeline and cost. Changes require mutual written agreement before proceeding.

4. Payment Terms

4.1 Fees

Fees for our services are outlined in the applicable proposal or agreement. Unless otherwise specified, fees are quoted in USD.

4.2 Invoicing and Payment

Invoices are issued according to the payment schedule defined in your agreement (e.g., upfront, milestone-based, or monthly).
Payment is due within 14 days of the invoice date unless otherwise stated.
Late payments may incur a late fee of 1.5% per month on the outstanding balance.

4.3 Expenses

Reasonable out-of-pocket expenses (e.g., third-party tool licenses, hosting costs) may be billed separately and will be disclosed in advance.

5. Intellectual Property

5.1 Pre-existing Materials

Each party retains ownership of its pre-existing intellectual property. V-Fix.ai retains all rights to its methodologies, frameworks, tools, and proprietary processes.

5.2 Deliverables

Upon full payment, you own the deliverables created specifically for your project, including refactored code, documentation, and configuration files. V-Fix.ai grants you a perpetual, worldwide, non-exclusive license to use any pre-existing materials incorporated into those deliverables.

5.3 Blog Content

All blog posts, articles, and educational content published on our website remain the intellectual property of V-Fix.ai. You may share and reference this content with attribution.

6. Confidentiality

We treat all project information, codebases, and business details shared by you as confidential. We will not disclose your information to third parties except as necessary to deliver the agreed-upon services or as required by law. Both parties agree to maintain confidentiality of proprietary information shared during the engagement.

7. Warranties and Limitations

7.1 Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. If you identify a material defect in our work, we will remedy it at no additional cost within a reasonable timeframe.

7.2 No Guarantee of Specific Outcomes

While we apply professional engineering practices, we do not guarantee specific business outcomes, performance metrics, or market success. Software development involves inherent complexity and variables beyond our control.

7.3 Limitation of Liability

To the maximum extent permitted by law, V-Fix.ai’s total liability for any claim arising from our services shall not exceed the total fees paid by you for the specific engagement giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or data.

8. Termination

8.1 By You

You may terminate an engagement at any time by providing written notice. You will be responsible for payment for all work completed up to the termination date.

8.2 By Us

We reserve the right to terminate an engagement if:

Payment is overdue by more than 30 days.
You breach any material term of the engagement or these Terms.
Continuing the engagement would compromise our ability to deliver quality service.

Upon termination, we will deliver all work-in-progress and transfer access to relevant systems.

9. Dispute Resolution

Any disputes arising from these Terms or our services will first be addressed through good-faith negotiation. If unresolved, disputes will be settled through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will take place in [your jurisdiction], and judgment on the award may be entered in any court of competent jurisdiction.
